Registering your business with the Rwanda Development Board (RDB) requires specific documentation. Here’s a general overview:  

  • Company Name Reservation: Obtain approval for your desired business name.

  • Memorandum and Articles of Association (for companies): Outlines the company’s structure and objectives.  

  • Identification Documents: Copies of national ID or passport for directors and shareholders.  

  • Proof of Address: Documents verifying the company's registered address.

  • Tax Identification Number (TIN): Obtaining a TIN is part of the registration process.  

  • Criminal Record Clearance: For some business types, criminal record clearance may be required.

  • If the applicant is an NGO, Association or a Cooperative, they will be requested evidence of registration at Rwanda Governance Board or Rwanda Cooperatives Agency as well as Board resolution to open up a business.

What do I need to fill annual returns?

  • Domestic companies with a turnover of less than 400,000,000. Income statements and statements of financial position. Resolutions for amendment, if any.

  • Domestic companies with a turnover of 400,000,000 and above: Income statements, Statement of financial position, Statement of cash flow, Statement of change in equity, Financial statement notes, Auditors and/or directors report, Resolutions for an amendment if any.

  • Holding Companies: Consolidated Income statements, Consolidated Statement of financial position, Consolidated Statement of cash flow, Consolidated Statement of change in equity, Financial statements notes, Auditors report, Resolutions for amendment if any.

  • Foreign Companies: Income statements, Statement of financial position, Statement of cash flow, Statement of change in equity, Financial statements notes, Notice on the business particulars of the applying branch and Auditors report.

Post-Registration Requirements

  • Register for Social Security: Register your employees with the Rwanda Social Security Board (RSSB).
